Terms and Conditions of Sale (TCS) – Neon
1. Purpose
These Terms and Conditions govern the provision, by Neon, of an annual subscription granting access to the digital content of digital food service brands (franchises) published by Neon: logo, visual identity elements, platform-optimized structured menu, dish presentation sheets, professional photos of each dish, and main brand visual intended for delivery platforms.
The brands offered constitute digital franchises in the commercial sense, and not franchises in the traditional legal sense.
NEON provides no culinary training, no professional know-how, no detailed technical recipes, and no operational assistance related to food production, unless expressly stated in a separate complementary offer.

Party status
Neon acts as the digital franchisor; the client acts as the authorized operator under the terms set out herein.
2. Subscription and pricing conditions
Subscription to NEON takes the form of an annual subscription granting the right to operate one or more digital brands selected by the client.
The subscription amount is automatically calculated based on the number of brands selected, according to the pricing tiers in effect at the time of subscription.
For information purposes, the pricing tiers currently applied are as follows:
- Neon Access : €499.00/year – Annual license – 1 brand
- Neon Pro : €899.00/year – Value pack – 2 brands
- Neon Elite : €1,699.00/year – Value pack – 4 brands
These tiers constitute pricing conditions and not separate contractual plans. The final applicable price is the one displayed and validated at the time of payment.
Payment is due in full at the time of subscription. Access is personal, non-transferable, and non-assignable.
3. Duration & renewal
The subscription is valid for 12 months from the date of subscription.
Unless canceled 30 days before expiry, it is automatically renewed for another year at the current rates.
4. Identity verification and contract
Access to content is subject to electronic contract signing and, if applicable, identity verification (KYC) and/or proof of business activity (e.g., company registration certificate).
Neon reserves the right to refuse activation in case of incomplete or non-compliant information.
5. Access to resources & granted rights
For the duration of the subscription and for the selected brand(s), the customer is granted a limited commercial right of use for the following elements: brand logo, visual identity elements, platform-structured menu, dish presentation sheets, dish photos, main brand visual.
The granted right is non-exclusive, non-transferable, without sub-licensing, and limited to the country and sales channels where the client operates legally.
The following are prohibited: resale, public file sharing, making content available to third parties, substantial modification of brand identity, creation of confusing derivative brands, and more generally any use not compliant with the intended purpose of the elements.
The content provided by NEON consists exclusively of digital brand presentation elements.
They do not include any cooking recipes, preparation instructions, technical sheets, training, culinary know-how, or operational support, unless expressly stated in a separate complementary offer.
6. No guarantee of acceptance by delivery platforms
Neon does not guarantee the approval, creation, acceptance, or maintenance of an account on any delivery platform. The client remains solely responsible for their applications and compliance with platform policies.
7. Terms of use
The client agrees to:
- use the materials in a professional context in compliance with applicable laws and standards;
- comply with dish names, menu structure, and brand identity in order to avoid any customer confusion;
- respect the intellectual property rights of Neon and/or its licensors.
In case of violation, Neon may suspend or terminate access without refund.
8. Payment – Right of withdrawal
In accordance with Article L221-28 of the Consumer Code, the right of withdrawal does not apply to digital content provided immediately after payment.
By validating the subscription, the client expressly acknowledges and accepts the immediate provision of the content and waives the right of withdrawal.
No refund may be granted after validation of the subscription, including in the event of early termination.
9. Intellectual property
All provided elements (logos, visuals, platform-structured menus, dish presentation sheets, visual identity elements, and culinary identities) are protected and remain the property of Neon and/or its licensors.
Upon expiration or termination of the subscription, all use must cease immediately, and files must be deleted from all client systems (except where retention is legally required).
10. Responsibilities
The client operates their business under their sole responsibility (hygiene, food safety, cold chain, regulatory compliance, allergens, technical sheets, etc.).
Neon cannot be held liable for customer disputes, food poisoning, business losses, delivery platform refusals, or non-compliance with standards.
11. Applicable law & jurisdiction
These TCS are governed by French law.
Exclusive jurisdiction is granted to the Paris Court, subject to applicable public policy rules.
