Terms and Conditions of Sale (TCS)
1. Purpose
These Terms and Conditions of Sale govern the supply of digital content relating to digital food brands (digital franchises) published by NEON Licensing LLC: logo, visual identity elements, structured menu for platforms, dish presentation sheets, professional photos of each dish and main brand visual intended for delivery platforms.
The brands offered constitute digital franchises in the commercial sense, and not franchises in the traditional legal sense.
NEON Licensing LLC does not provide culinary training, business know-how, detailed technical recipes, or operational assistance related to food production, unless expressly stated in a separate complementary offer.

NEON Licensing LLC acts as the publisher and provider of the digital brands.
The client acts as an authorized operator, under the conditions defined herein.
2. Purchase and pricing terms
The purchase from NEON takes the form of a one-time payment granting access to the complete content of one or more digital brands selected by the client.
The total amount is calculated automatically according to the number of brands selected, based on the prices in effect at the time of the order.
For information purposes, the prices currently applied are as follows:

These prices constitute pricing terms and not separate contractual offers. The final applicable price is the one displayed and confirmed at the time of payment.
Payment is due in full at the time of the order. Access is personal, non-assignable and non-transferable.
3. Order confirmation
The order is deemed concluded as from validation of the payment.
Access to the content of the purchased brand or brands is granted after payment confirmation, under the conditions set out in these Terms and Conditions of Sale.
4. Identity verification and contractual validation
Access to the content may be subject to validation of the applicable conditions and, where applicable, to identity verification (KYC) and/or the provision of business supporting documents (e.g. company registration extract).
Neon reserves the right to refuse activation in case of incomplete or non-compliant information.
5. Access to resources and rights of use
After purchase and for the selected brand(s), the client benefits from a limited commercial right of use to the following elements: logo, visual identity elements, structured menu for platforms, dish presentation sheets, photos for each dish, main brand visual.
The right granted is: non-exclusive, non-transferable, without sublicensing, limited to the country and channels in which the client legally operates its business.
The following are prohibited: resale, public sharing of files, making files available to third parties, substantial modification of the brand identity, the creation of confusing derivative brands, and more generally any use not in accordance with the intended purpose of the elements.
The content provided by NEON Licensing LLC consists exclusively of digital brand presentation elements.
They do not include any cooking recipes, preparation instructions, technical sheets, training, culinary know-how or operational support, unless expressly stated in a separate complementary offer.
6. No guarantee of acceptance by platforms
Neon does not guarantee the approval, creation, acceptance, or maintenance of an account on any delivery platform. The client remains solely responsible for their applications and compliance with platform policies.
7. Terms of use
The client agrees to:
- use the materials in a professional context in compliance with applicable laws and standards;
- comply with dish names, menu structure, and brand identity in order to avoid any customer confusion;
- not to infringe the intellectual property rights of NEON Licensing LLC and/or its licensors.
In the event of a breach, NEON may suspend or withdraw access, without refund.
8. Payment – Right of withdrawal
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to digital content supplied on an intangible medium where performance has begun before the end of the legal period and under the conditions provided by law.
By validating the order, the client acknowledges and expressly accepts the immediate supply of the digital content after payment under the conditions provided by the applicable regulations.
No refund may be granted after validation of the order and the start of the supply of the digital content.
9. Intellectual property
All provided elements (logos, visuals, platform-optimized menus, dish presentation sheets, visual identity elements and culinary identities) are protected and remain the exclusive property of NEON Licensing LLC and/or its licensors.
The elements provided remain protected and are the exclusive property of NEON Licensing LLC and/or its licensors. The purchase does not involve any transfer of ownership of the brand, its identity or its content.
10. Responsibilities
The client operates their business under their sole responsibility (hygiene, food safety, cold chain, regulatory compliance, allergens, technical sheets, etc.).
NEON shall not be held liable for customer disputes, food poisoning, loss of business, platform refusals, or non-compliance with applicable standards.
11. Applicable law and jurisdiction
These Terms and Conditions are governed by French law.
In the event of a dispute relating to their interpretation, performance, or validity, and failing amicable resolution, exclusive jurisdiction is expressly granted to the competent courts of Paris, including in cases of multiple defendants or third-party claims.
